Terms of Service

1. Agreement

By accessing or using NumbersClear (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legal agreement between you and AIORAS TECHNOLOGY LTD (Company No. 16037096), registered at 4th Floor Office, 205 Regent Street, London, England, W1B 4HB ("we", "us", "our").

2. About the service

NumbersClear is a financial reconciliation and audit platform for multi-channel e-commerce sellers. The Platform connects to your sales channels (Amazon, Shopify) and accounting tools (QuickBooks, Xero, Sage) to provide automated P&L reporting, fee reconciliation, inventory valuation, cash-flow projections, and audit findings.

3. Eligibility

You must be at least 18 years old and authorised to act on behalf of a registered business to use NumbersClear. By using the Platform, you represent that you meet these requirements and have authority to bind the business entity to these Terms.

4. Account registration

To use the Platform, you must create an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Connected platforms and data access

NumbersClear accesses data from third-party platforms (Amazon, Shopify, QuickBooks, Xero, Sage) via OAuth 2.0 or equivalent secure authorisation. By connecting a platform, you:

• Authorise us to access and retrieve data necessary to provide our services
• Confirm you have the authority to grant such access
• Acknowledge that our use of Amazon Selling Partner data is governed by Amazon's Data Protection Policy
• May revoke access at any time through the Platform's settings or the connected platform's authorisation settings

We access only the data required to deliver our reconciliation and audit services. We do not modify, delete, or write data back to your connected platforms without your explicit instruction.

6. Subscriptions, fees, and cancellation

NumbersClear offers subscription plans priced per brand and channel:

• Base plan: $59 per brand per month, including 2 sales channels, 1 accounting connection, and 3 seats
• Add-ons: Additional channels ($19/mo each), seats ($12/mo each), and premium connectors as listed on our pricing page
• Free trial: 14-day trial, no payment card required

Subscriptions renew automatically unless you cancel before the renewal date. You can cancel at any time from your account settings. Upon cancellation, you retain access until the end of your current billing period. No refunds are provided for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Price changes do not affect active billing periods.

7. Acceptable use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to access accounts or data that do not belong to you
• Reverse-engineer, scrape, or copy the Platform or its content
• Upload harmful content, malware, or spam
• Use automated tools (bots, scrapers) to access the Platform beyond normal API usage
• Resell, redistribute, or sublicence your access to the Platform
• Use data obtained through the Platform to compete directly with NumbersClear
• Violate any third-party platform's terms of service through your use of NumbersClear

8. AI-generated content

NumbersClear uses artificial intelligence to generate insights, recommendations, and audit findings ("AI Output"). You acknowledge that:

• AI Output is generated algorithmically and may be inaccurate or incomplete
• AI Output is not professional financial, tax, or legal advice
• You are responsible for verifying AI Output before making business decisions
• You should consult a qualified accountant or financial adviser for material business decisions

9. Intellectual property

All content on NumbersClear (software, designs, branding, documentation, and reports) is owned by AIORAS TECHNOLOGY LTD or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may export and use reports generated by the Platform for your own business purposes. You may not copy, distribute, modify, or create derivative works from our platform code or proprietary algorithms.

10. Data protection

Your data is handled in accordance with our Privacy Policy and, where applicable, Amazon's Data Protection Policy. We implement industry-standard security measures including encryption in transit and at rest, OAuth-based authentication, and strict access controls. 11. Disclaimers

The Platform is provided "as is" and "as available". We make no warranties, express or implied, regarding:

• The accuracy, completeness, or timeliness of data retrieved from connected platforms
• Uninterrupted or error-free service
• Specific financial outcomes or business results
• The accuracy of any AI-generated insights or recommendations

NumbersClear is a decision-support tool. It does not replace professional accounting, tax, or financial advice.

12. Limitation of liability

To the maximum extent permitted by law, AIORAS TECHNOLOGY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, loss of data, or business interruption.

Our total aggregate liability in any 12-month period is limited to the greater of (i) the fees you paid us in that period, and (ii) GBP 100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

13. Indemnification

You agree to indemnify and hold harmless AIORAS TECHNOLOGY LTD from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Platform, or your violation of any third party's rights.

14. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you are a consumer resident elsewhere in the UK, you may also bring proceedings in your local courts.

15. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
